Mr. Burgess is a long-standing member of the CABB Forms Committee. He has over 30 years of experience in corporate and business law. He is particularly skilled in structuring, negotiating, and drafting contracts for complex business arrangements. He provides comprehensive legal services for both buyers and sellers of businesses, including preparation for purchase/sale, due diligence, negotiating the purchase price and transaction structure, tax issues, seller representations and indemnities, noncompetition covenants, drafting/review of documents, and closing procedures. He also provides general business and corporate services.
Mr. Burgess received his Bachelor of Arts degree, summa cum laude, Phi Beta Kappa, from Hamilton College and his Juris Doctor degree from Stanford Law School. He originally was associated with the firm of Howell and Hallgrimson in San Jose. He then was a partner in the Business Law Group for many years. He currently operates the Law Offices of David C. Burgess.
Mr. Burgess has written articles in various publications and is the author of three chapters of the book Drafting Business Contracts, published by the California Continuing Education of the Bar.
Among Mr. Burgess’s community activities are service with the Presbytery of San Jose and the San Jose Family Shelter.
Mr. Burgess is a member of the State Bar of California, the State Bar Business Law Section, and the Santa Clara County Bar Association.
